Terms of Service
These terms govern our professional relationship and outline the rights, responsibilities, and expectations for both BitForward Studio and our clients.

Acceptance of Terms
By engaging BitForward Studio for web design, development, or related services ("Services"), you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms").
These Terms apply to all Services unless otherwise agreed in writing. If you sign a proposal, statement of work ("SOW"), or contract, those documents form part of your agreement with us. In the event of a conflict, the proposal or SOW will prevail over these Terms.
If you do not agree to these Terms, please do not engage our Services.
Scope of Services
We provide professional web design, development, and digital services, which may include:
- Website design and development
- Website redesigns and landing pages
- UX/UI design and conversion optimization
- CMS implementation
- Hosting setup, maintenance, and technical consulting
The specific scope, deliverables, timelines, and fees for each project will be defined in a written proposal or SOW. Any work outside the agreed scope may require additional fees and written approval.
Client Responsibilities
To ensure successful project delivery, you agree to:
- Provide timely, accurate, and complete information, content, and materials
- Respond to requests for feedback and approvals within a reasonable timeframe
- Designate a single point of contact with decision-making authority
- Confirm that you have the legal right to use all materials you provide
Delays in feedback or content may result in timeline extensions and additional costs.
Project Timelines
Project timelines are estimates and depend on timely client input and approvals. Timelines may be affected by scope changes, technical constraints, third-party dependencies, or events beyond our control.
Fees & Payment Terms
Fees, payment schedules, and billing terms are outlined in the applicable proposal or SOW and are quoted in Canadian Dollars (CAD) unless otherwise stated.
- Invoices are due within the timeframe specified in the proposal or invoice
- Late or unpaid invoices may result in work being paused or terminated
- We reserve the right to withhold deliverables until outstanding balances are paid
- Deposits may be refundable or non-refundable depending on the circumstances and the work performed, as outlined in the proposal or agreed in writing
Intellectual Property
Upon full payment, you own the final project deliverables created specifically for you, as defined in the proposal or SOW.
We retain ownership of:
- Pre-existing materials, tools, frameworks, and libraries
- General techniques, concepts, and know-how developed during the project
- Any components not custom-created exclusively for you
We reserve the right to reuse non-client-specific elements, patterns, and ideas.
Projects may be showcased in our portfolio only with your explicit written approval, consistent with our Privacy Policy.
Third-Party Services & Hosting
Where applicable, we may manage hosting, domains, analytics, or other third-party services under your account or on your behalf.
You acknowledge that:
- Third-party platforms and providers operate independently of us
- We are not responsible for outages, downtime, data loss, security incidents, or changes caused by third-party services
- Service availability and performance are subject to the terms and policies of those providers
Warranty & Post-Launch Support
We provide a 30-day post-launch warranty covering bug fixes directly caused by our work, provided the issue is reported in writing within the warranty period and the project has not been modified by anyone other than us.
This warranty does not cover:
- New feature requests or enhancements
- Content changes
- Browser, CMS, plugin, or platform updates
- Third-party service or API changes
Ongoing support and maintenance are available under separate agreements.
No Guarantee of Results
While we apply industry best practices, we do not guarantee specific outcomes, including but not limited to search engine rankings, traffic, leads, conversions, sales, or business performance. Results depend on many factors outside our control.
Termination
Termination by Client
You may terminate Services by providing written notice. You remain responsible for payment for all work performed up to the termination date.
Termination by BitForward Studio
We may suspend or terminate Services if you fail to pay invoices, breach these Terms, or repeatedly fail to provide required materials or feedback. Upon termination, outstanding balances become immediately due.
Limitation of Liability
To the fullest extent permitted by law, BitForward Studio will not be liable for indirect, incidental, consequential, or special damages arising out of or related to our Services.
Our total liability for any claim will not exceed the fees paid to us for the Services giving rise to the claim.
Indemnification
You agree to indemnify and hold BitForward Studio harmless from claims, damages, or losses arising from materials you provide, your misuse of the Services, or your violation of applicable laws or third-party rights.
Force Majeure
We are not liable for delays or failures caused by events beyond our reasonable control, including third-party outages, infrastructure failures, cyber incidents, natural disasters, or governmental actions.
Governing Law & Jurisdiction
These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein.
Any disputes shall be resolved exclusively in the courts located in Calgary, Alberta, Canada.
